Reefwave — Terms of Service

1. Overview

These Terms of Service (the “Terms”) govern your access to and use of consulting services, websites, and materials provided by Reefwave Limited (“Reefwave,” “we,” “us,” or “our”). By purchasing or using our services, you agree to these Terms.

2. Eligibility

You must be at least 18 years old and have authority to bind the company or account you represent.

3. Services

We provide strategy sessions, audits, and ongoing consulting related to Facebook/Meta advertising and associated marketing activities. The scope of each service is described on our website or order form.

4. Orders & Scheduling

Orders are placed online or by payment link. After payment, you receive instructions to schedule your session. You are responsible for booking within the stated timeframe. We may reschedule for cause (e.g., illness, platform outages) with reasonable notice.

5. Client Responsibilities

You agree to: (a) provide accurate information; (b) maintain access to required platforms/data; (c) comply with all applicable laws and Meta policies; (d) not request actions that violate platform rules or laws; (e) back up your data.

6. Fees, Taxes, and Billing

Fees are listed in USD unless stated otherwise. Taxes (e.g., VAT/sales tax) may apply based on your location and will be shown at checkout. You authorize us and our payment processor to charge your selected payment method for all fees.

7. Cancellations & Refunds

Our Refunds & Cancellations Policy forms part of these Terms. For retainers, cancellations affect future renewals only; amounts already delivered are non‑refundable unless required by law.

8. Intellectual Property

We own all pre‑existing materials, frameworks, and know‑how. Subject to payment in full, we grant you a non‑exclusive, non‑transferable license to use deliverables we create for your internal business purposes. You grant us a right to reference your company name and non‑confidential results as a client success example (you may opt out by emailing support@reefwave.com).

9. Confidentiality

Each party will protect the other’s confidential information and use it only to perform obligations under these Terms. This obligation survives termination.

10. Data Protection

We process personal data according to our Privacy Policy. If a Data Processing Addendum (DPA) is required, contact support@reefwave.com.

11. Third‑Party Platforms

We may provide recommendations related to third‑party platforms (e.g., Meta, Google). We are not affiliated with or endorsed by these platforms and are not responsible for their performance, availability, or policies.

12. No Professional Advice

Our services provide marketing guidance only and do not constitute legal, tax, financial, or medical advice. Consult appropriate professionals for such advice.

13. Disclaimers

Services are provided “as is” without warranties of any kind. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non‑infringement.

14. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, special, or exemplary damages, lost profits, or loss of data. Our total liability for any claim is limited to the amount you paid for the service giving rise to the claim in the 90 days preceding the event.

15. Indemnity

You will indemnify and hold us harmless from claims arising out of your misuse of the services, violation of laws or platform policies, or content you provide.

16. Suspension/Termination

We may suspend or terminate services if we suspect fraud, non‑payment, or policy violations. You may stop using the services at any time; refund rights are governed by our Refunds Policy.

17. Governing Law; Disputes

These Terms are governed by the laws of Hong Kong without regard to conflict of law rules. Disputes will be resolved exclusively in the courts of Hong Kong. Consumers may have mandatory rights in their local jurisdiction.

18. Changes

We may update these Terms from time to time. Material changes will be posted on this page with a new “Last updated” date. Continued use after changes means acceptance.
